Welcome to SharpPoster. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and SharpPoster Inc. (“SharpPoster”, “we”, “us”, or “our”), governing your access to and use of the SharpPoster website, platform, AI creation tools, and multi-channel publishing integrations, including integrations with TikTok, Facebook, Instagram, YouTube, X, LinkedIn, Telegram, Pinterest, and Discord.

Summary of Key Principles

You Own Your Content: You retain full copyright and ownership of all your media, scripts, and generated video creations.

Platform Rules Compliance: When publishing to social networks, you agree to adhere to their Community Guidelines and Terms of Service.

Responsible AI Usage: You are responsible for reviewing AI-generated content to ensure it does not infringe copyright or contain harmful material.

Easy Account Control: You can disconnect your social channels or close your account whenever you want.

01.Acceptance & Eligibility

By accessing, browsing, registering for, or using SharpPoster, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately refrain from using our Service.

You must be at least 13 years old (or the legal age required in your country of residence to use online services) to use SharpPoster. If you are using SharpPoster on behalf of a company, organization, or brand, you represent and warrant that you possess the full legal authority to bind that entity to these Terms.

02.Description of Services

SharpPoster provides an integrated suite of creative tools that enables creators and businesses to:

Transform still images, prompts, and audio into dynamic AI-generated video assets.
Connect authenticated third-party social media accounts (including TikTok, YouTube, Instagram, X, LinkedIn, Facebook, Telegram, Pinterest, and Discord) using official OAuth APIs.
Compose captions, configure aspect ratios, schedule queues, and dispatch posts directly to connected social accounts.
Monitor publishing logs, broadcast history, and delivery confirmation.

Third-Party Platform Integrations & Social APIs

Our Service allows you to connect your social media accounts via official developer APIs. By linking your social accounts or posting content through SharpPoster, you explicitly agree that:

A. Compliance with Platform Terms & Guidelines

You agree to comply with all applicable terms, policies, and community guidelines established by the respective social media networks.

B. Independent Platform Relationship

SharpPoster is an independent software platform and is not owned, operated by, or endorsed by Meta, TikTok, Google, X Corp, LinkedIn, Telegram, Discord, or Pinterest. We access platform functionality solely through approved developer API endpoints.

C. Authorization to Publish on Your Behalf

When you schedule or initiate a post via SharpPoster, you grant SharpPoster the direct authorization to transmit your media, title, caption, and selected privacy settings to third-party API servers using your authenticated credentials.

D. Revocation & Token Disconnection

You retain the continuous right to disconnect your social media accounts at any time from your SharpPoster workspace, or by revoking permissions directly within the third-party platforms.

E. YouTube API Services Agreement

SharpPoster utilizes YouTube API Services to facilitate video broadcasting and management. By connecting a YouTube channel or publishing content to YouTube through SharpPoster, you agree to be bound by the YouTube Terms of Service and acknowledge that your data will be handled in accordance with the Google Privacy Policy.

04.Content Ownership & Intellectual Property

User Ownership: As between you and SharpPoster, you retain full and exclusive ownership, copyright, and all other intellectual property rights in and to the images, audio, video files, scripts, text prompts, and final outputs you upload, generate, or publish using SharpPoster.

License to SharpPoster: To enable SharpPoster to deliver our service, you grant SharpPoster a worldwide, non-exclusive, royalty-free, revocable license strictly to host, process, encode, and transmit your media and metadata to your designated social media platforms upon your command. We do not claim any proprietary rights in your creations.

SharpPoster IP: All rights, title, and interest in and to the SharpPoster platform, including user interfaces, designs, software, logos, trademarks, and documentation, remain the exclusive property of SharpPoster Inc.

05.Prohibited Uses & User Conduct

You agree not to use SharpPoster for any unlawful purpose or in any way that violates these Terms or third-party platform rules. Specifically, you agree NOT to:

Upload or broadcast content that infringes upon copyright, trademark, privacy, or publicity rights of any person or entity.
Generate or publish hate speech, explicit pornography, violent extremism, defamation, harassment, or malicious misinformation.
Distribute unsolicited bulk communications, spam, fraudulent schemes, or deceptive promotional content.
Attempt to reverse-engineer, decompile, scrape, or circumvent the security mechanisms, rate limits, or API restrictions of SharpPoster or connected platforms.
Impersonate any individual, brand, or entity without authorization.

06.AI Video Studio Disclaimer

SharpPoster incorporates generative artificial intelligence models to assist in creating video content from user inputs. You acknowledge and agree that:

AI outputs are generated algorithmically based on user prompts and may vary in accuracy, consistency, and style.
You are solely responsible for reviewing and verifying all AI-generated videos, captions, and tags prior to publicly publishing them to any social channel.
You are responsible for ensuring that your publication of AI-generated content complies with platform-specific AI disclosure guidelines.

07.Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. SHARPPOSTER EXPRESSLY DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THIRD-PARTY PLATFORM APIS WILL OPERATE WITHOUT INTERRUPTION, DELAY, OR MODIFICATION BEYOND OUR CONTROL.

08.Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SHARPPOSTER, ITS DIRECTORS, EMPLOYEES, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

09.Termination & Modification of Service

We reserve the right to suspend or terminate your account or access to the Service at our reasonable discretion if you violate these Terms or third-party platform rules. You may terminate your account at any time by disconnecting your channels and contacting support@sharpposter.ai.
